Strategy the company formerly known as MicroStrategy, has announced the pricing of a new $2.47 billion capital raise through its initial public offering of Variable Rate Series A Perpetual Stretch Preferred Stock (STRC).

Priced at $90 per share, the 28 million-share offering is set to settle on July 29, pending standard closing conditions.

The company stated that net proceeds will be used for general corporate purposes, including additional Bitcoin purchases and working capital. The STRC shares will carry a variable monthly dividend, initially set at 9% annually on a $100 par value, with Strategy retaining the ability to adjust rates within regulated bounds.

According to Strategy, the dividend mechanism is designed to support price stability near the $100 par value. Should regular dividends remain unpaid, compounded interest will accumulate, adding further incentive for the company to maintain its payment schedule.

Strategy will also retain redemption rights. It can redeem all or portions of STRC stock at $101 per share or more, plus accrued dividends, once the shares are listed on a major exchange. Clean-up and tax-triggered redemptions are also permitted under specific thresholds or events.

If a “fundamental change” occurs, shareholders may require Strategy to repurchase their STRC shares at face value, including unpaid dividends. Furthermore, the liquidation preference adjusts daily based on a three-factor formula, ensuring that the share price aligns with market performance and recent issuance levels.

The offering is being led by Morgan Stanley, Barclays, Moelis & Company, and TD Securities, with several other firms acting as co-managers. It is being conducted under an effective SEC registration, and full offering details are available via prospectus filings on www.sec.gov.
